The Indian license partner accused our client of causing delays and refused to carry a portion of the unexpected increase in development costs. Based on my research in the applicable law (of a third country), I could advise the client that it was not solely liable for the increase in costs and, together with the management, negotiated and drafted a modification of the license providing for the Indian firm to bear a portion of those costs. The negotiations for a Joint Venture in the highly confidential area of satellite technology were going poorly because both parties did not have the command of English they believed they had. Their attorneys were also not native speakers of English, and the schedules to the contract so secret they could not be revealed to the attorneys and used as source of clarity in the contract. It would be my role to revise the drafts and create clarity, in particular respect to the language without irritating either party. I happily took on that task and, after two turns of the document, the only matters left were minor. The parties were able to conclude their agreement. |
